Introduction

By accessing or using Vardha AI's website, waitlist, accounts, or product (collectively, the "Services"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

Eligibility

You must be able to form a legally binding contract in your jurisdiction and meet any minimum age required in your region (typically at least 16, or higher where the law requires). The Services are not intended for children below those thresholds.

Services

Vardha AI provides AI-assisted marketing tools—such as content generation, scheduling, and related workflows—subject to these Terms and any product-specific documentation we publish.

Changes and availability

We may modify, suspend, or discontinue features (including during early access or beta) to improve the product, comply with law, or address security. We will use reasonable efforts to keep core workflows stable and to notify you of material adverse changes where appropriate.

No guarantee of results

We do not guarantee specific business outcomes (for example reach, revenue, or rankings). Marketing results depend on many factors outside our control.

Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, except where caused by our gross negligence or unauthorized access solely due to our systems.

Notify us promptly at our contact channels if you suspect unauthorized use. We may suspend or terminate accounts that appear compromised or abusive.

Acceptable use

You agree not to, and not to permit others to:

• Violate applicable law, regulations, or third-party rights (including IP, privacy, and publicity).
• Use the Services to generate or distribute unlawful, fraudulent, defamatory, harassing, hateful, or deceptive content.
• Attempt to probe, scan, or test the vulnerability of our systems; bypass access controls; or interfere with the Services or other users' use.
• Reverse engineer, decompile, or scrape the Services except where mandatory law allows.
• Send spam, distribute malware, or overload infrastructure (including unreasonable API or automation use).
• Misrepresent affiliation with Vardha AI or impersonate another person or organization.

We may investigate violations and cooperate with law enforcement. We may remove content or restrict access where we reasonably believe it is necessary to protect the Services or others.

Your content and intellectual property

You retain ownership of content you submit ("Your Content"), subject to the rights you grant us below. You represent that you have the rights needed to submit Your Content and to grant this license.

License to us

You grant Vardha AI a worldwide, non-exclusive license to host, process, reproduce, display, and create derivative works from Your Content solely as needed to provide, secure, and improve the Services (for example generating drafts, previews, and scheduled posts you authorize).

Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you, except where prohibited by law.

Third-party services and integrations

The Services may interoperate with third-party platforms (for example social networks or analytics). Those services have their own terms and privacy practices. We are not responsible for third-party services or for outages, API changes, or account restrictions imposed by them.

Fees, billing, and access

Some features may be free, time-limited, or offered under a paid plan. Fees, taxes, renewal terms, and refund rules will be presented at checkout or in an order summary where applicable. If you fail to pay amounts due, we may suspend paid features after reasonable notice where required by law.

During early access, pricing and entitlements may change; we will communicate material changes in line with these Terms and applicable consumer law.

Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the fullest extent permitted by law, Vardha AI and its suppliers, officers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising from these Terms or the Services, even if advised of the possibility.

To the fullest extent permitted by law, our aggregate liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the event giving rise to liability, or (b) one hundred U.S. dollars (USD $100), if you have not had any payment obligation.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.

Indemnity

You will defend, indemnify, and hold harmless Vardha AIand its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, your violation of these Terms, or your violation of third-party rights.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, if we must do so for legal or security reasons, or if we wind down the Services with notice where practicable.

Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

Governing law and disputes

Unless mandatory local law requires otherwise, these Terms are governed by the laws of the jurisdiction in which Vardha AI operates its primary business, without regard to conflict-of-law principles.

You and we agree that courts in that jurisdiction (or another forum we specify in writing for enterprise customers) have exclusive jurisdiction over disputes arising from these Terms, subject to any rights you may have as a consumer to bring claims in your country of residence.

General

• Entire agreement — These Terms and policies referenced here are the entire agreement regarding the Services and supersede prior oral or written understandings on the same subject.
• Severability — If a provision is invalid, the remainder stays in effect.
• No waiver — Failure to enforce a provision is not a waiver.
• Assignment — You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Export — You comply with export and sanctions laws and will not use the Services in embargoed regions or for prohibited end uses.

Changes to these terms

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. If a change materially affects your rights, we will provide additional notice (for example by email or in-product) where required by law. Continued use after the effective date constitutes acceptance of the updated Terms, except where your explicit consent is required.
